Terms & Conditions of IDitAll

DISCLAIMER: ANY PAST, PRESENT OR FUTURE DEPOSIT AND/OR PAYMENT OF THIS INVOICE CONSTITUTES YOUR ACCEPTANCE OF THE FOLLOWING TERMS OF SALE:

1. Acceptance of Terms

Any deposit, payment, purchase order, written approval, electronic approval, signature, or acceptance of goods or services constitutes full and binding acceptance of these Terms.

Electronic approvals and payments are legally binding.

2. Estimates & Pricing

Estimates are valid for fifteen (15) days unless otherwise stated. Pricing may change due to vendor increases, tariffs, freight rates, material shortages, or supply chain conditions.

Production will not begin until written approval and/or required deposit is received.

3. Payment Terms

• Deposits may be required prior to production.

• Balances are due prior to shipment or pickup unless otherwise agreed.

• Late payments accrue interest at 1% per month or the maximum allowed by Florida law.

• Customer is responsible for all collection costs, including attorney’s fees.

• IDitAll retains a purchase money security interest in goods until paid in full.

• IDitAll may suspend or cancel production for nonpayment.

4. Proof Approval & Customer Responsibility

Customer is solely responsible for reviewing and approving all artwork, specifications, spelling, layouts, dimensions, and production details.

Approval constitutes final acceptance. IDitAll is not responsible for approved errors.

5. Intellectual Property

All original artwork, designs, renderings, mock-ups, concepts, and production files created by IDitAll remain the exclusive property of IDitAll unless otherwise agreed in writing.

Customer warrants that supplied materials do not infringe third-party rights and agrees to indemnify IDitAll for related claims.

6. Customer-Supplied Materials

As a general policy, IDitAll does not accept customer-supplied goods for decoration or modification. IDitAll reserves sole discretion to determine whether customer-supplied goods will be accepted.

Customer-supplied goods may be accepted only in limited circumstances where the item cannot reasonably be sourced by IDitAll and must be approved in writing.

If accepted:

• IDitAll is not responsible for damage, loss, shrinkage, or inconsistent decoration results.

• Variations due to material composition are accepted by Customer.

• Spoilage of up to 5% is deemed acceptable.

• IDitAll makes no guarantees regarding compatibility of decoration methods.

• Customer assumes all risk related to quality, performance, and end-use.

Acceptance does not create a warranty or bailment obligation beyond these stated terms.

7. Production Variations

Customer accepts:

• Underruns/overruns up to 10% billed pro rata

• Reasonable color and material variations

• Slight dimensional or finish differences

• Comparable substitutions if required

8. Third-Party Manufacturer Disclaimer

IDitAll may act as a sourcing intermediary. Unless expressly stated, IDitAll is not the manufacturer and makes no independent manufacturing warranties.

9. Shipping & Risk of Loss

Risk transfers upon delivery to carrier.

IDitAll is not liable for carrier delays, loss, theft, customs delays, or freight damage after carrier acceptance.

Freight claims must be reported within 48 hours.

Customer is responsible for freight, duties, tariffs, and import fees unless agreed otherwise.

10. Pickup, Storage & Abandonment

Customer will be notified when goods are complete.

All completed orders must be picked up within forty-eight (48) hours of notification unless otherwise agreed in writing.

Orders not picked up within seventy-two (72) hours may incur storage fees at IDitAll’s standard daily rate.

Orders not claimed within fifteen (15) business days after completion notice shall be deemed abandoned. IDitAll may dispose of, destroy, or donate such goods without further notice or liability.

Customer remains responsible for all outstanding balances and storage charges regardless of disposition.

11. Cancellations

Cancellations require written approval. Deposits are non-refundable.

Customer is responsible for work performed, materials ordered, vendor charges, and restocking fees.

Custom production may not be canceled once started.

12. Returns & Claims

Custom goods are non-returnable.

Claims must be submitted in writing within five (5) business days of delivery.

IDitAll’s sole obligation is repair, replacement, or credit not exceeding the purchase price.

13. Warranty Disclaimer

All goods and services are provided “as is.”

IDitAll disclaims all implied warranties including merchantability and fitness for a particular purpose.

14. Limitation of Liability

IDitAll shall not be liable for indirect, incidental, consequential, delay-related, or lost profit damages.

Total liability shall not exceed the amount paid for the goods at issue.

15. Force Majeure

IDitAll is not liable for delays or failure due to events beyond reasonable control including vendor defaults, freight delays, customs holds, labor disputes, natural disasters, pandemics, or government action.

Production timelines are estimates only.

16. Product Use & Compliance

Customer is solely responsible for regulatory compliance, labeling, suitability, safe use, and resale compliance.

17. Indemnification

Customer agrees to indemnify and hold harmless IDitAll from claims arising from resale, misuse, modification, regulatory violations, or customer-supplied materials.

18. Chargebacks

Customer shall not initiate chargebacks without written notice and a ten (10) day opportunity to cure.

19. Export Compliance

Customer is responsible for compliance with export control laws and sanctions regulations.

20. Subcontracting

IDitAll may subcontract any portion of production or services.

21. Digital File Retention

IDitAll does not guarantee retention of artwork or production files beyond ninety (90) days unless otherwise agreed.

22. Notice & Opportunity to Cure

Customer must provide written notice of alleged breach and allow at least fifteen (15) days to cure before initiating legal action.

23. Limitation Period

Any claim must be brought within one (1) year of delivery or completion.

24. Governing Law & Venue

Governed by Florida law.

Exclusive venue: Miami-Dade County, Florida.

25. Waiver of Jury Trial

Both parties waive trial by jury.

26. Attorney’s Fees

Prevailing party shall recover reasonable attorney’s fees and costs.

27. No Oral Modification

No oral statements modify these Terms.

28. Marketing Rights

IDitAll may photograph completed work for portfolio use unless otherwise agreed.

29. Severability

If any provision is unenforceable, remaining provisions remain in effect.

30. Entire Agreement

These Terms constitute the entire agreement between the parties.
